The company L.P. Transbeton Ltd. will be carrying out its initial public offering of shares on the 14 and 15 February 2002.

Authorised share capital of the company is CYP 50 million divided into 250 million shares of 20 cents each. Issued share capital before the present issue was CYP 449.091 divided into CYP 2.245.455 ordinary shares.

6.325.974 new ordinary shares of 20 cents each will be issued. 2.571.429 new ordinary shares of 20 cents nominal value will be issued to the public of which 2.185.715 will be offered to irrevocable applications. 2.020.536 shares were accumulated through irrevocable applications prior the 15 February 2001 and 165.179 shares will be offered through irrevocable applications following publication of the company’s prospectus, for compliance to amended legislation 9(I)2001 in force from the 16 February 2001. 385.714 shares will be offered through public offering.

There will be a bonus share issue to shareholders of the company registered as at 29 May 2000 of 3.754.545 new shares of 20 cents nominal value by capitalization of reserves above par resulting from the present issue. Shares will be issued pro rata to share capital already held.

857.143 warrants 2002/2003 to the ratio of 1 warrant for every 10 shares allotted and 1 warrant for every 10 shares held. Exercise price of the warrants will be 80 cents and their exercise period between 1 to 31 October 2002/3

Net revenues of the issue is expected to reach around CYP 1.314.286 and will be used for the strengthening of the capital base of the company, purchase of machinery and equipment as well as upgrade of existing facilities and enhancement of cash flow, aiming towards the further development and expansion of activities of the company in line with its strategic policy.


L.P. Transbeton Ltd. was formed in Cyprus in 1992, its main activities being the production and distribution of ready concrete. Board members of the company are Messrs Lazaros Lazarou, Varnavas Kourounas, Georgios Charalambous, Christos Konomis, Panayiotis Panayi, Marios Petrou, Andreas Panayides, Georgios Panayi and Theodoros Panayi.
