Frou-Frou approved final results 2005 – AGM on 10/5 – Proposed div of 2.47% - Dividend reinvestment

We wish to inform you that at the meeting held on Friday, March 17, 2006 at 4.30 pm, the Board of Directors of ALKIS H.HADJIKYRIACOS (FROU FROU BISCUITS) PUBLIC LTD:
a) Examined and approved the final audited financial statements for the year ended 31/12/2005.
The final results are not different from the preliminary results, which have already been announced.
b) Set the date for the Annual General Meeting, which will take place on Wednesday, May 10, 2006 at 5.00 pm at the Company’s office in Kokkinotrimithia.
c) Approved the proposal to the AGM for the payment of a final dividend of £331,655 (2004: £322,691) for 2004 attributable to 0.37 cents (£0,0037) (2004: 0,36 cents (£0,0036)) for every fully paid share or 2.47% (2004: 2,40%) on the nominal value of the Company’s share capital.
The final dividend will be paid to the shareholders registered as at May 19, 2006. Pursuant to the CSE Trading Rules, transactions carried out two days prior to May 19, 2006 (May 17 and 18, 2006) will be ex-dividend.
The above dividend, provided that it will be approved by the AGM, will be paid on June 16, 2006 and will be posted to the shareholders on Friday, June 16, 2006.
d) Pursuant to the Prospectus dated February 28, 2001, the Company has a Dividend Reinvestment Plan for the period of 10 years. Pursuant to the terms and regulations of the plan, the reinvestment price will be the price of the Public Registration of 50 cents.
The Board of Directors would like to inform investors that the current market price of the share is lower than the reinvestment price, set by the terms of the Plan.
Copies will be available at the Company’s office, 115 Gregoriou Afxentiou, 2660 Kokkinotrimithia.
The Company has not adopted the Corporate Governance Code for all the reasons mentioned in the Annual Report.
