Subject: Public Offer by C.B Holdings Limited to the shareholders of Caramondani Bros Public Company Limited
The Board of Directors of C.B Holdings Limited announces that it has proceeded via pre-agreed package with the purchase of 4,355,308 shares of Caramondani Bros Public Company Limited that corresponds to 43.45% of its share capital from G. Caramondani Investments Ltd and Mr. Stavros Caramondanis at the price of €0.68 per share.
As a result and pursuant to article 13 of the Public Offering Law 2007, N.41(I)/2007, the Company submits a Public Offer for the acquisition of a minimum 50% plus 1 share and a maximum 100% of the issued share capital of Caramondani Bros Public Company Limited in cash.
The issued share capital of CAR stands at €4,310,095.11 divided into 10,023,477 shares of nominal value €0.43 each.
At the date of this announcement, the persons acting in agreement with the Company hold 0.09% of CAR.
The proposed consideration for the acquisition of the Company’s titles stands at €0.90 per share, which will be paid cash to the shareholders who will accept the Public Offer.
The Public Offer is subject to the following terms and conditions:
- The Company must receive on time the Acceptance Forms, which together with the shares that the Company already holds secure 50% plus 1 share of the issued share capital of CAR and
- The Company must secure all necessary permits and approvals by the SEC.
The Company has proceeded with all necessary arrangements with a bank, which will confirm that the Company has all necessary means for the payment of the proposed consideration.
Further information o the Public Offer will be included in the Public Offer Document, which will be prepared pursuant to the provisions of the Law and the SEC directives on the content of the PO Document.
