1. The Board of Directors of Ceilfloor Public Company Ltd will meet on 26/2/2009 to deal with the following:
Preliminary results 2008
The Board of Directors will examine capital issues, especially the rights and the promotion of the prospectus.
It will also examine the prospects after the completion of the agreement of the major shareholders of the holding company with CAPITAL ONE INVESTMENTS MALTA LTD for a participation in the share capital of the holding company.
Appointment of new Board members
2. The Board of Directors of Avacom Company Ltd will meet on 26/2/2009 to deal with the following:
Preliminary results 2008
Agreement between the major shareholders and CAPITAL ONE INVESTMENTS MALTA LTD for the acquisition of a company, which will control directly or not 27.5% of the shares of Avacom Public Company Ltd.
Appointment of new Board members
The Board of Directors will examine capital issues, especially the rights.
3. Avacom Public Company Ltd has reached a sale agreement of Ceilfloor Manufacturers Ltd to Tachidomi Ltd based on the net book value on 31/12/2008, after taking into account the balances between the companies of the seller and the buyer. The value has been agreed at €4,000,000 and will be readjusted on the basis of the audited accounts 31/12/2008. The exchange will be paid cash. According to the sale, there is no difference in the financial results of the Group and no loss or profit is emerging.
