The Extraordinary General Meeting of Hellenic Bank Public Company Ltd held on Wednesday, August 4, 2010 was attended – either in person or via proxies – by shareholders who held 21.87% of the issued share capital of the bank.

The EGM approved two special resolutions:

Special Resolution 1

“That the Board of Directors is authorized to issue Non-Cumulative Convertible Capital Securities of indefinite duration by Hellenic Bank of total value of up to €150,000,000 with nominal value €1 each with main terms those that are included in the document under the title “Main terms of Non-Cumulative Convertible Capital Securities of indefinite duration dated July 13, 2010, which has been posted to the shareholders of the Bank together with the notification for the Extraordinary General Meting and that the Board of Directors is authorized to take all necessary measures for the offer and issue of the Convertible Capital Securities as well as the determination of the remaining terms of issue of the Convertible Capital Securities.

It is also decided that the Board of Directors is authorized to issue up to €26,802,473 of the €150,000,000 Non-Cumulative Convertible Capital Securities of indefinite duration without those being offered to the existing shareholders of the bank in order of precedence on the basis of the Articles of Association and the Companies’ Law”.

Special Resolution 2

“That the Board of Directors is authorized to issue up to 30,000,000 ordinary shares of nominal value €0.43 each without those shares being offered to the existing shareholders of the bank in order of precedence on the basis of the Articles of Association and the Companies’ Law”.
