HB: AGM decisions – Dividend of €0.02 – EGM approved issue of up to 8.1m shares

The 35th Annual General Meeting of Hellenic Bank Public Company Ltd held on May 20, 2009 was attended – either by proxies or in person – by 31.39% of the share capital of the Bank. The AGM decided the following:
- Approved the Directors’ Report, the Auditors’ Report and the financial statements for the year ended December 31, 2008.
- Approved the final dividend for 2008 (€0.02 per share), which will be paid to the shareholders on Monday, June 29, 2009.
The record date will be May 29, 2009, while the ex-dividend date will be May 27, 2009.
Transactions carried out until May 26, 2009 will be cum-dividend.
- Reelected Dr. Andreas Panayiotou, Iacovos Iacovou, Antonis Pierides and Kyriakos Georgiou as Board members.
- Approved the Remuneration Policy Report and the remuneration of the Board members.
- Reappointed KPMG as auditors for Cyprus and Greece.
The setting of the auditors’ remuneration is at the sole discretion of the Board of Directors.
Also, the Extraordinary General Meeting held on May 20, 2009 after the end of the AGM approved the following special resolution:
Special resolution
“That the Board of Directors of Hellenic Bank Public Company Ltd is authorized to proceed with the issue of up to 8,100,000 new shares without these being offered to the shareholders of the bank first and the shareholders disclaim their preference rights with regard to those shares.
Those shares will be allocated as a consideration for the acquisition of up to 100% of the shares of “Athena Cyprus Public Company Ltd” to the ratio of 1 new share for every 3 shares of Athena acquired.
Then, the Board of Directors held a meeting and reelected Dr. Andreas Panayiotou as Chairman and Andreas Mousiouttas as Vice Chairman.
- Approved the Directors’ Report, the Auditors’ Report and the financial statements for the year ended December 31, 2008.
